Poster Studio Express – Software Terms Of Service

This Terms of Service agreement (“Agreement” or “Terms”) is a legal contract between you (“User,” “you,” or “your”) and Red Circle Solutions LLC D.B.A. Poster Studio Express (“Red Circle Solutions,” “Company,” “we,” “us,” or “our”), regarding your use of the Poster Studio Express desktop application and all associated software, features, and services (collectively, the “Application”).

1. ACCEPTANCE OF TERMS

By installing, accessing, or otherwise using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Application and should uninstall it immediately.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Application. Your continued use after such notification constitutes acceptance of the modified Terms.

2. USER ELIGIBILITY

2.1 Age Requirement

You must be at least thirteen (13) years of age to use the Application. If you are between thirteen (13) and eighteen (18) years of age (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2.2 Intended Use

The Application is designed for printing to compatible wide format printers. While primarily marketed to educational institutions, the Application may be used by any individual or organization for any lawful purpose, subject to these Terms and applicable license agreements.

2.3 Account Registration

To use the Application, you must:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your registration information
• Accept responsibility for all activities under your account
• Obtain parental or guardian consent if under eighteen (18) years of age

3. LICENSE GRANT

3.1 License

Subject to your compliance with these Terms and any applicable license agreement, Red Circle Solutions grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Application on desktop devices that you own or control
• Use the Application for managing and executing print jobs using compatible wide format printers
• Use the Application for personal, educational, or commercial purposes

3.2 Restrictions

You may not:

• Copy, modify, or distribute the Application
• Reverse engineer, decompile, or disassemble the Application
• Rent, lease, lend, sell, or sublicense the Application
• Remove or alter any proprietary notices or labels
• Use the Application to violate any applicable law or regulation
• Attempt to gain unauthorized access to any systems or networks
• Circumvent any license restrictions or usage limits

4. INTELLECTUAL PROPERTY AND CONTENT OWNERSHIP

4.1 Company Intellectual Property

All content included in the Application, including but not limited to the software code, graphics, user interface, logos, and the trademarks, service marks, and trade names of Red Circle Solutions LLC D.B.A. Poster Studio Express, are the exclusive property of Red Circle Solutions and are protected by United States and international copyright, trademark, and other intellectual property laws.

4.2 User Content

(a) Ownership. You retain all ownership rights to any text, images, designs, or files you create, upload, or import into the Application (“User Content”). Red Circle Solutions claims no ownership or license to your User Content beyond what is necessary to provide the service.

(b) Limited License to Company. By using the Application, you grant Red Circle Solutions a limited, non-exclusive license to temporarily store and process your User Content solely for the purpose of:

• Facilitating your print jobs
• Temporary troubleshooting (print job images stored for thirty days)
• Providing the services you request

We will not use your User Content for training, promotion, marketing, or any purpose other than providing the Application’s functionality.

• You own or have the necessary licenses, rights, consents, and permissions to use your User Content
• Your User Content does not infringe upon any third party’s intellectual property rights, privacy rights, or other legal rights
• You have obtained all necessary releases and permissions for any individuals depicted in your User Content

(d) Prohibited Content. You agree not to upload, import, or print any User Content that is:

• Unlawful, harmful, threatening, abusive, harassing, defamatory, or libelous
• Obscene, pornographic, or sexually explicit
• Infringing on any patent, trademark, trade secret, copyright, or other proprietary rights
• Invasive of another’s privacy or publicity rights
• Hateful or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age
• Fraudulent, deceptive, or misleading
• Promoting illegal activities or violence

Red Circle Solutions reserves the right to terminate access for users who breach this provision.

4.3 Third-Party Trademarks

HP, DesignJet, and related marks are trademarks of HP Inc. Canva is a trademark of Canva Pty Ltd. Google, Microsoft, and Apple are trademarks of their respective owners. Red Circle Solutions is not affiliated with, endorsed by, or sponsored by these companies. Use of these names is for identification purposes only.

4.4 Third-Party Integrations

The Application’s integration with Canva is subject to Canva’s own terms of service and privacy policy. Red Circle Solutions assumes no responsibility or liability for:

• The availability, accuracy, or functionality of Canva’s services
• Any claim of intellectual property infringement related to designs accessed or exported via the Canva integration
• Any changes to Canva’s service that affect Application functionality

You are solely responsible for ensuring you have the right to use any Canva designs you import.

5. DATA COLLECTION AND PRIVACY

You acknowledge and agree that Red Circle Solutions will collect and store information related to your account, usage, and printing activities as described in our Privacy Policy, including:

• Account information (email, name, phone, organization affiliation)
• Printer identification and status (network address, model, ink levels, paper status)
• Print job records and images (images retained for thirty days)

By using the Application, you consent to this data collection. Please review our Privacy Policy for complete details.

6. ACCOUNT SECURITY

6.1 Your Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use or security breach
• Signing out from shared or public devices

6.2 Our Rights

We reserve the right to:

• Suspend or terminate accounts suspected of unauthorized access
• Require credential changes if we suspect a security breach
• Implement additional security measures as needed

7. TECHNICAL REQUIREMENTS AND COMPATIBILITY

7.1 System Requirements

The Application requires:

• Windows operating system (specific version requirements available in documentation)
• Internet connection for authentication and cloud features
• Network access to compatible printers

7.2 Printer Compatibility

The Application is designed for use with HP DesignJet wide format printers. We do not guarantee compatibility with:

• All printer models or firmware versions
• Third-party printers or non-HP devices
• Future printer firmware updates

7.3 Updates

We may release updates to the Application. Some updates may be required to continue using the Application. We are not obligated to provide updates, enhancements, or technical support.

8. WARRANTY DISCLAIMER

THE APPLICATION AND ALL MATERIALS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, RED CIRCLE SOLUTIONS LLC D.B.A. POSTER STUDIO EXPRESS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF INFORMATION
• UNINTERRUPTED OR ERROR-FREE OPERATION

RED CIRCLE SOLUTIONS DOES NOT REPRESENT OR WARRANT THAT:

• The functions contained in the Application will be uninterrupted or error-free
• Defects, errors, or inaccuracies in printer status information will be corrected
• The print quality, color accuracy, or printer compatibility will meet your expectations
• The Application will be compatible with your specific hardware or network configuration
• Data transmission will be secure or free from interception

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

RED CIRCLE SOLUTIONS LLC D.B.A. POSTER STUDIO EXPRESS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY:

• Special, punitive, incidental, indirect, or consequential damages
• Damages for lost profits, loss of data, or business interruption
• Damages arising from printer malfunction, paper waste, or ink consumption
• Damages resulting from unauthorized access to your account or information
• Damages arising from third-party integrations

THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF RED CIRCLE SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN ALL CASES, THE TOTAL AGGREGATE LIABILITY OF RED CIRCLE SOLUTIONS UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT YOU HAVE PAID TO RED CIRCLE SOLUTIONS FOR THE APPLICATION AND ASSOCIATED LICENSES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Red Circle Solutions, its officers, directors, employees, agents, affiliates, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from:

• Any breach of these Terms by you
• Any printing activities you initiate through the Application
• Any claim of intellectual property infringement or other injury arising from your User Content
• Your use of the Canva integration or any designs accessed therethrough
• Your violation of any applicable law or regulation
• Any unauthorized use of your account

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms and your use of the Application shall be governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of law provisions.

11.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or the Application shall be brought exclusively in the state or federal courts located in North Carolina, USA. You consent to the personal jurisdiction of such courts and waive any objection to venue.

11.3 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at sales@posterstudioexpress.com. We will attempt to resolve the dispute within thirty (30) days.

11.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. TERM AND TERMINATION

12.1 Term

These Terms are effective upon your first use of the Application and continue until terminated.

12.2 Termination by You

You may terminate this Agreement at any time by uninstalling the Application and requesting account deletion by contacting sales@posterstudioexpress.com.

12.3 Termination by Us

Red Circle Solutions may terminate or suspend your access to the Application immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Violation of applicable laws
• Conduct harmful to other users or our systems
• Extended periods of inactivity
• At our sole discretion

12.4 Effect of Termination

Upon termination:

• Your license to use the Application is immediately revoked
• You must cease all use and uninstall the Application
• We may delete your account and associated information (subject to legal retention requirements)

12.5 Survival

The following provisions survive termination: Sections 4 (Intellectual Property), 8 (Warranty Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), 11 (Governing Law), and 15 (General Provisions).

13. EXPORT COMPLIANCE

The Application may be subject to United States export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and not to transfer or authorize the transfer of the Application to a prohibited country or otherwise in violation of any applicable restrictions or regulations.

14. FEEDBACK

If you provide Red Circle Solutions with any feedback, suggestions, or ideas regarding the Application (“Feedback”), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, modify, and incorporate such Feedback into the Application or other products without any obligation to you.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Red Circle Solutions concerning the Application and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Red Circle Solutions.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

Red Circle Solutions shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or power outages.

15.6 Notices

We may provide notices to you via email to the address associated with your account or through the Application. You may provide notices to us at sales@posterstudioexpress.com.

15.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

15.8 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Red Circle Solutions.
